Participant Assumption of Risk, Release, and Waiver.

I understand that basketball is a vigorous physical activity involving inherent risks that cannot be completely eliminated, regardless of the level of care exercised by trainers, facilities, participants, or Trainurz.

I voluntarily choose to participate, or to permit my minor child to participate, with full knowledge of these risks.

These risks include, but are not limited to:

• slips, trips, and falls;
• collisions with other participants;
• collisions with spectators or members of the public;
• contact with basketball equipment;
• contact with fixed objects;
• overexertion;
• dehydration;
• muscle strains;
• ligament injuries;
• tendon injuries;
• sprains;
• fractures;
• dislocations;
• concussions;
• head injuries;
• heat-related illness;
• cardiac events;
• aggravation of existing medical conditions;
• permanent disability; and
• death.

I further understand that injuries may occur even when reasonable care is exercised.

I understand that many sessions arranged through Trainurz occur at public basketball courts or other facilities that are not owned, operated, or controlled by Trainurz.

These locations may contain risks including:

• uneven playing surfaces;
• wet courts;
• cracked pavement;
• loose debris;
• inadequate lighting;
• damaged rims or backboards;
• weather conditions;
• spectators;
• other athletes;
• traffic near courts;
• construction;
• animals;
• changing environmental conditions; and
• other hazards that may not be apparent.

Trainurz does not inspect, supervise, maintain, or guarantee the safety of any training location.

I understand that I am responsible for determining whether a training location appears reasonably safe before participating.

Many training sessions occur outdoors.

I understand that weather conditions may change rapidly and may increase the risks associated with athletic participation.

These conditions may include:

• excessive heat;
• humidity;
• rain;
• wind;
• lightning;
• snow;
• ice;
• poor air quality; and
• reduced visibility.

I understand that a session may be canceled or rescheduled when weather conditions make participation unsafe.

If I choose to participate despite changing conditions, I voluntarily assume those risks.

I represent that I, or my minor child, am physically able to participate in basketball activities.

I understand that it is my responsibility to:

• obtain medical advice when appropriate;
• disclose injuries or physical limitations that may affect participation;
• monitor physical condition before and during the session;
• bring required medications;
• remain properly hydrated;
• discontinue participation if continuing would be unsafe; and
• seek medical attention whenever necessary.

Trainurz and independent trainers are entitled to rely upon my representations regarding the participant's physical condition.

Neither Trainurz nor any trainer is responsible for determining whether participation is medically appropriate.

If an injury or medical emergency occurs during a training session, I authorize the trainer to take reasonable actions under the circumstances, including:

• stopping the session;
• contacting the supervising parent or guardian;
• contacting my designated emergency contact;
• contacting emergency medical services (911); and
• providing reasonable assistance until emergency personnel arrive, when appropriate.

I understand that Trainurz and independent trainers are not medical providers.

I acknowledge that emergency medical care may not be immediately available.

I understand that I remain solely responsible for all medical expenses arising from participation.

I knowingly and voluntarily assume all risks, both known and unknown, associated with participation in basketball training sessions arranged through Trainurz.

This assumption of risk includes risks arising from:

• athletic participation;
• physical exertion;
• court conditions;
• weather;
• equipment;
• actions of other participants;
• actions of spectators;
• conditions at public facilities; and
• ordinary negligence to the fullest extent permitted by applicable law.

I understand that no athletic activity can be made completely safe.

I voluntarily choose to participate despite these risks.

To the fullest extent permitted by applicable law, I, on behalf of myself and, where applicable, my minor child, voluntarily release, waive, discharge, and covenant not to sue Trainurz LLC and its owners, officers, directors, employees, contractors, affiliates, agents, licensors, and service providers (collectively, the "Released Parties") from any and all claims, demands, causes of action, damages, losses, liabilities, costs, or expenses arising out of or relating to participation in basketball training sessions arranged through the Trainurz Platform.

This release includes claims arising from:

• athletic participation;
• ordinary risks inherent in basketball;
• use of public or private training facilities;
• conditions of training locations;
• actions of other participants;
• actions of spectators;
• weather conditions;
• equipment;
• scheduling or booking activities; and
• ordinary negligence of the Released Parties, to the fullest extent permitted by law.

This Waiver does not release any liability that cannot legally be released under applicable law, including liability arising from gross negligence, reckless misconduct, or intentional wrongdoing where such liability cannot legally be waived.

I understand and acknowledge that trainers using Trainurz are independent service providers and are not employees, agents, partners, joint venturers, or representatives of Trainurz.

Trainurz provides an online marketplace through which clients and trainers may connect.

Trainurz does not:

• employ trainers;
• supervise training sessions;
• control the manner in which instruction is provided;
• guarantee trainer qualifications beyond any information expressly stated on the Platform;
• guarantee trainer performance; or
• guarantee participant safety.

I understand that my decision to participate with any trainer is voluntary.

If I am accepting this Waiver on behalf of a minor participant, I represent and warrant that:

• I am the participant's parent or legal guardian, or otherwise have legal authority to provide consent;
• I have carefully read this Waiver;
• I understand its contents;
• I voluntarily agree to all of its terms on behalf of both myself and the minor participant; and
• I accept full responsibility for the minor's participation.

I understand that Trainurz requires a parent, legal guardian, or another authorized supervising adult designated by the parent or guardian to remain physically present throughout every session involving a minor participant.

I further acknowledge that Trainurz is not a childcare provider and that trainers are not responsible for supervising minors outside the scope of basketball instruction.

I understand that Trainurz is not responsible for the loss, theft, or damage of personal property brought to or used during a training session.

This includes, but is not limited to:

• athletic equipment;
• basketballs;
• clothing;
• shoes;
• jewelry;
• electronic devices;
• wallets;
• bags;
• keys; and
• other personal belongings.

Participants remain solely responsible for securing and protecting their own property.

I understand that neither Trainurz nor independent trainers provide medical advice, diagnosis, rehabilitation, or treatment.

Any information provided before, during, or after a session is intended solely for basketball instruction and should not be interpreted as medical advice.

Participants should consult qualified healthcare professionals regarding injuries, medical conditions, or concerns about physical activity.

To the fullest extent permitted by law, I agree to defend, indemnify, and hold harmless the Released Parties from and against any claims, liabilities, damages, judgments, settlements, costs, and reasonable attorneys' fees arising out of or relating to:

• my participation or my minor child's participation;
• my violation of this Waiver;
• my violation of applicable law;
• inaccurate information provided by me;
• my failure to disclose relevant medical information;
• my failure to supervise a minor participant as required; or
• claims brought by third parties arising from my conduct or the conduct of my minor child.

If any provision of this Waiver is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

Any unenforceable provision shall be interpreted, modified, or limited only to the extent necessary to make it enforceable while preserving its original intent whenever possible.

This Waiver shall be governed by and interpreted in accordance with the laws of the State of New York, without regard to conflict-of-law principles.

Any legal proceeding arising from this Waiver shall be subject to the dispute resolution and venue provisions contained in the Trainurz Terms of Service.

I acknowledge that selecting an acceptance checkbox, clicking an acceptance button, submitting a booking request, or otherwise electronically accepting this Waiver constitutes my legally binding electronic signature.

I agree that electronic records maintained by Trainurz, including accepted document versions, timestamps, booking identifiers, IP addresses, browser user agents, and related acceptance records, may be used to demonstrate my acceptance of this Waiver.

This Waiver, together with the Trainurz Terms of Service and any documents expressly incorporated therein, constitutes the complete agreement regarding assumption of risk and release of liability for participation in basketball training sessions arranged through the Trainurz Platform.

If any provision of the Trainurz Terms of Service conflicts with this Waiver regarding athletic participation or assumption of risk, the provisions of this Waiver shall control.

By accepting this Waiver, I acknowledge and agree that:

• I have carefully read this entire document.
• I understand that I am giving up certain legal rights.
• I understand the inherent risks associated with basketball activities.
• I voluntarily assume those risks.
• I understand that Trainurz is an online marketplace and not the provider of basketball instruction.
• If accepting on behalf of a minor participant, I have legal authority to do so.
• I agree to be legally bound by this Waiver.
